1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Lemy Inc. governing your use of the Lemyi platform. By accessing or using the Lemyi mobile application (referred to as the "Creator App") or the web platform for brands (referred to as the "Brand Dashboard"), you confirm that you have read, understood, and agreed to be bound by these Terms. This applies whether you are a registered user (such as a creator or a brand) or simply browsing the site or app. Your continued use of any part of the Lemyi platform signifies your ongoing acceptance of these Terms, as well as any future updates. If you do not agree to comply with these Terms, you must immediately discontinue use of the platform. Lemyi reserves the right to update, modify, or replace these Terms at any time, and it is your responsibility to review them regularly. Failure to do so does not exempt you from being bound by the current version. The platform is offered on the condition that you accept all the obligations, limitations, and legal disclaimers outlined in this document. These Terms apply across all access points, devices, and interfaces, including mobile phones, tablets, desktop browsers, APIs, and any integrations offered by Lemyi. Your continued use of any part of the Lemyi platform signifies your ongoing acceptance of these Terms, as well as any future updates. By using Lemyi, you agree that you are entering into a business-to-business or business-to-creator relationship where clear expectations, trust, and enforceable policies are necessary. You waive any claim of ignorance regarding these Terms and accept that any breach may result in corrective action, including suspension or termination of your account.
2. Eligibility
To use the Lemyi platform, you must be at least 18 years of age. This requirement is strictly enforced to ensure that all participants are legally capable of entering into binding contracts for services, content production, and financial transactions. By registering for an account, you affirm that you meet this age requirement and possess the legal authority to engage with the platform either on your own behalf or as an authorized representative of a business entity. During the account creation process, you agree to provide accurate, current, and complete information. This includes but is not limited to your name, email address, country of residence, social media handles, and payment or payout details. Submitting false or misleading information may result in immediate account suspension or termination, and may disqualify you from using Lemyi in the future. Lemyi reserves the right to verify your identity and eligibility at any time. This may include requesting additional documentation such as government-issued ID, proof of business registration, or age verification through third-party providers. If verification fails or if we have reason to believe that any information you’ve provided is inaccurate, we may take action including limiting your access, holding escrow payouts, or closing your account entirely. By using Lemyi, you also acknowledge that you are not barred from using digital marketplaces or similar platforms in your jurisdiction. Users who have been previously removed from Lemyi or other job or content platforms due to violations or abuse may be denied access at Lemyi’s sole discretion. Eligibility is a foundational requirement for maintaining a trusted, professional environment on Lemyi. We reserve the right to update eligibility standards and verification processes at any time to reflect evolving legal requirements and operational needs.
3. Platform Overview
Lemyi is a structured online marketplace designed to facilitate collaborations between brands and creators. Brands use the platform to post campaigns for influencer marketing or user-generated content (UGC), including specific requirements, timelines, deliverables, and budget ranges. Creators, in turn, can browse available opportunities, apply directly through the platform, and complete work upon acceptance. Each campaign includes project-specific terms set by the brand, such as what type of content is required (e.g., Reels, photos, testimonials), the submission format, and deadlines. Once a creator is selected, they must fulfill the brief and submit deliverables through the platform. All payments are handled via escrow to ensure trust: the brand deposits funds in advance, and the creator is paid only after the brand approves the submitted work or upon automatic milestone confirmation if no response is received within a defined timeframe.
Lemyi plays a facilitative role but does not serve as an employer or legal representative of either party. It is the responsibility of both brands and creators to ensure clarity around campaign expectations—including content rights, usage periods, exclusivity clauses (if any), and licensing limitations. Misunderstandings that arise from unclear briefs or undocumented agreements fall outside the platform’s legal liability. The platform also includes tools such as chat messaging, job tracking, and status notifications to streamline collaboration. However, these tools do not replace formal contracts or clear written briefs. Brands and creators are encouraged to communicate proactively and use the project brief field to outline all relevant terms before starting any work. Through this framework, Lemyi enables secure, scalable, and traceable creative work relationships, while maintaining flexibility for both emerging and established creators to monetize their skills in an escrow-protected environment.
4. Escrow and Payments
Lemyi uses an escrow-based payment system to ensure transparency and trust between brands and creators. Before a project begins, brands are required to deposit the full payment amount into a secure escrow account. This demonstrates commitment to the collaboration and guarantees that funds are available before the creator begins working. Once a creator completes and submits the agreed-upon deliverables, the brand has a designated review window to either approve the work or raise concerns. If the brand approves the deliverables or takes no action within the specified time, the funds are automatically released to the creator. This protects creators from indefinite delays while still allowing brands the opportunity to ensure quality. Lemyi may step in to mediate disputes when disagreements arise regarding scope, quality, or delivery. However, the platform acts only as a neutral facilitator and is not liable for the contractual or creative obligations of either party. Any judgment made by Lemyi in a dispute is final and may include refunding the brand, releasing funds to the creator, or partial payments, depending on the nature of the case.
All financial transactions conducted through Lemyi are subject to applicable transaction fees, platform service charges, and the relevant laws of the jurisdictions involved. This includes payment processing regulations, tax compliance, and currency exchange requirements where applicable. Users are solely responsible for any local tax obligations that may result from earnings or expenditures on the platform. Creators and brands are strongly encouraged to clearly document the project scope, timeline, expected outcomes, and content usage rights in the campaign brief to minimize ambiguity and prevent disputes. Lemyi reserves the right to withhold or reverse payments if fraudulent activity, chargebacks, or terms violations are detected.
5. Intellectual Property & Content Rights
All content produced by creators under a paid campaign engagement is subject to intellectual property (IP) transfer upon full payment unless otherwise agreed in writing. By default, the brand assumes full ownership of all intellectual property rights associated with the creator's deliverables once the escrow payment is released. This includes, but is not limited to, videos, photos, scripts, voiceovers, and any supporting materials. The brand may use such content across any medium or platform, in perpetuity, and for any lawful purpose. In cases where the brand and creator agree to restrict IP usage—such as limiting it to specific platforms (e.g., Instagram or TikTok), for a set time period, or for defined geographic regions—those conditions must be explicitly documented in the campaign brief or job terms and accepted by both parties before work begins. If no such conditions are stated, the assumption is that the brand owns the full rights without limitation following payment. This framework protects brands from ambiguity and allows them to reuse content in digital marketing, advertisements, product pages, investor decks, or other commercial uses without seeking additional permissions or making further payments to the creator. Brands are encouraged to clarify whether they are seeking full IP transfer or usage licenses during campaign creation.
Separately, creators grant Lemyi a royalty-free, irrevocable, and non-exclusive right to use any content they submit to the platform—including deliverables, Blips, Loop posts, and any associated text or media—for Lemyi’s own marketing, advertising, and promotional purposes. This includes display on the website, social media, investor materials, internal training, and product development showcases. By using Lemyi, creators acknowledge that their submitted content may be featured by the platform without notification or compensation. However, Lemyi will never sell or redistribute this content to third parties outside of promotional or internal use, and creators will retain moral attribution to their name or username where appropriate.
6. Account Suspension and Termination
Lemyi maintains the right to suspend, restrict, or permanently delete any user account at its sole discretion, with or without prior notice or justification. This right is exercised to preserve the integrity, safety, and operational efficiency of the platform. Grounds for suspension or termination may include—but are not limited to—fraudulent activity, harassment, breach of contract, chargeback abuse, failure to complete deliverables, impersonation, off-platform deals that circumvent escrow, inactivity, or behavior deemed disruptive to the community. While we aim to provide fair warnings and resolution pathways where appropriate, Lemyi is not obligated to provide detailed reasons or advance notice before taking disciplinary actions. We reserve the authority to act preemptively when user behavior poses risk to other users or to Lemyi’s operational systems. Actions taken may include temporary suspensions, permanent bans, removal of content, forfeiture of escrow payouts, or blocking of associated payment accounts. Users acknowledge and agree that Lemyi is not liable for any data loss, content removal, revenue interruption, or reputational damage resulting from account suspension or termination. This includes deletion of public profiles, campaign applications, Loop content, or access to chat histories and work portfolios stored on the platform.
Users also waive any right to challenge these actions unless explicitly covered by a legal right to appeal under the jurisdiction governing these Terms. While Lemyi may, at its discretion, consider appeals on a case-by-case basis, reinstatement of a suspended or terminated account is not guaranteed. By using Lemyi, you accept that participation on the platform is a privilege, not a right, and can be revoked at any time for behavior deemed inconsistent with our standards of trust, fairness, and community safety.
7. User Conduct
To maintain a respectful, secure, and professional environment, all users of Lemyi—whether creators, brands, or third-party collaborators—are expected to abide by high standards of conduct. By using the platform, you agree to engage with others in good faith and refrain from any actions that could disrupt or compromise the safety, fairness, or integrity of the community. Prohibited behavior includes posting content that is illegal, defamatory, abusive, discriminatory, sexually explicit, or otherwise offensive. Users may not use language, visuals, or communication that incite hate, promote misinformation, or violate applicable laws in their jurisdiction or in the Philippines. You are also strictly prohibited from using bots, scripts, or other forms of automation to manipulate the platform, including spamming job applications, artificially inflating engagement metrics, or scraping user data. Attempting to circumvent platform fees, conducting off-platform transactions to avoid escrow, or initiating deals outside of Lemyi's payment system is a serious violation that may result in immediate suspension.
Harassment of any kind—including bullying, stalking, intimidation, or threats toward other users—is not tolerated. Impersonating another person, entity, or Lemyi staff is also forbidden. Users who breach these standards may have their content removed, their accounts restricted, or permanently banned from the platform. Lemyi reserves the right to determine what constitutes misconduct or abuse, and to take enforcement action accordingly. Violations of these behavioral standards not only undermine platform trust but may result in forfeited payments, legal escalation, and irreversible account deletion without notice.
8. Disputes Between Users
Lemyi serves as a marketplace facilitator and provides communication tools, milestone tracking, and limited moderation to help creators and brands manage their collaborations. We encourage both parties to clearly define their expectations in the project brief, maintain transparent communication throughout the campaign, and document key decisions inside the platform chat to avoid misunderstandings. In the event of a dispute—whether related to content quality, delivery delays, usage rights, or payment disagreements—users may contact Lemyi support to request a case review. Our internal team will evaluate the situation based on platform records, message history, brief terms, and deliverable submissions. Lemyi’s role in this process is impartial; our goal is to assess whether each party met their obligations as outlined. While we may issue a ruling—such as a full payout, partial refund, or rejection of both claims—users acknowledge that Lemyi is not a legal arbitrator. We do not act as a court of law and are not liable for outcomes resulting from disputes. Any judgment made by Lemyi's support team is final and binding within the context of platform enforcement.
Lemyi reserves the right to withhold payments from escrow during active disputes until a decision has been reached. Additionally, in severe or repeated cases of bad faith behavior, we may terminate accounts involved in dispute abuse, including those engaging in false claims, extortion tactics, or repeated delivery refusals without valid reason. By using Lemyi, you agree that all project-related communications and transactions should remain on-platform and that you will not bypass the review system in an attempt to escalate issues outside Lemyi unless legally necessary. This ensures we can protect both parties and maintain transparency in resolving disputes fairly.
9. Disclaimers and Limitation of Liability
Lemyi offers its services on an "as-is" and "as-available" basis, with no guarantees or warranties regarding the performance, reliability, or outcomes that users may experience while using the platform. This means that we do not guarantee uninterrupted uptime, perfect functionality, or that the platform will meet every user's expectations or business needs. Use of Lemyi is entirely at your own risk. We make no representations regarding the amount of income creators may earn, the effectiveness of brand campaigns, or the outcome of any job or transaction on the platform. All projections, success cases, or user outcomes shared on our site or social channels are illustrative and not to be interpreted as guarantees. Users are solely responsible for assessing the suitability of the platform for their individual or business purposes.
Lemyi disclaims all liability to the fullest extent permitted by law. This includes, but is not limited to, liability for data loss, service outages, bugs or platform errors, fraudulent transactions, delayed payouts, or third-party service interruptions (such as with payment processors or identity verification providers). We are not responsible for damages that arise from your interactions with other users, nor for any content posted by third parties. Users agree that they will not hold Lemyi liable for any indirect, incidental, special, or consequential damages—including loss of profits, business interruption, reputation harm, or loss of data—even if we were advised of the possibility of such damages. This limitation applies regardless of the form of action, whether in contract, tort, negligence, or otherwise. While Lemyi continuously works to improve platform security and reliability, you acknowledge that digital services inherently involve some level of risk. By using the platform, you agree to accept these limitations and waive any claims that exceed what is explicitly stated in this section.
10. Indemnification
By using Lemyi, you agree to fully indemnify, defend, and hold harmless Lemyi, its parent company, affiliates, directors, officers, employees, contractors, agents, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses—including reasonable attorneys’ fees and legal costs—arising from or related to: (a) your use or misuse of the platform; (b) any content or materials you upload, publish, or distribute through Lemyi, including in deliverables or Loop posts; (c) your breach of these Terms of Service or any campaign-specific agreement; or (d) any violation of applicable laws or third-party rights. This indemnity obligation extends to claims made by other users (such as brands or creators), government entities, or third parties asserting that your conduct, content, or transactions on the platform caused them harm or violated their rights. It applies regardless of whether the dispute arises during active use or after account termination.
You also agree to indemnify Lemyi from liabilities related to disputes you enter into with other users. For example, if a brand claims financial harm due to incomplete work or a creator alleges misuse of their content outside of agreed usage rights, Lemyi may be named in the dispute and will rely on this indemnification clause for protection. Lemyi reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in such defense. This clause remains in effect even after your relationship with Lemyi has ended or your account has been deleted. This provision is designed to ensure that Lemyi can operate a fair, secure marketplace without being held liable for individual disputes, user behavior, or unlawful activities carried out by platform participants.
11. Modifications to Terms
We may modify these Terms at any time. When changes occur, we’ll update the effective date above. Continued use of Lemyi after changes constitutes acceptance of the new Terms. If you do not agree, you must stop using the platform.
12. Governing Law
These Terms of Service, and any disputes arising from or related to your use of the Lemyi platform, shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. By using the platform, you expressly consent to the exclusive jurisdiction of the courts located in Metro Manila, Philippines, for any legal proceedings. Lemyi operates in compliance with Philippine business, privacy, and digital commerce regulations, and any claims or legal actions brought against the company must adhere to these local frameworks. This includes contractual disputes, claims for damages, intellectual property conflicts, or enforcement of any clause within these Terms. Should a dispute escalate to legal proceedings, both parties agree to submit to the jurisdiction of courts in Metro Manila and waive any objections based on venue, forum non conveniens, or lack of personal jurisdiction. Any award or decision made by a court in Manila shall be enforceable internationally where applicable. Nothing in this section shall prevent Lemyi from pursuing injunctive relief or equitable remedies in any jurisdiction where a violation of rights or threat of irreparable harm exists, including misuse of intellectual property, platform data, or unlawful conduct.
